Overview:

Many businesses need to raise money from members of the public to fund their growth. Raising money likely involves compliance with Securities Laws. Private Placements are a part of the Securities Regulations which allows the least regulated portion of the Securities laws. Sponsors of fund raising activities often fear that they will violate Securities Laws when they raise money from outside investors. The Securities laws are complicated, and Sponsors are uncertain of what laws apply to them in their fundraising activities. Because of uncertainty, Sponsors who need to access capital from outside investors may often not proceed with the fundraising they need.
